Terms & Conditions for Legal Consultants

These terms and conditions govern the Matching Services that Allegro makes available to you. These terms and conditions (also, “Agreement”) are in addition to any website terms of use that apply to your use the Website. These terms and conditions contain important information about your legal rights and obligations, and is a legally binding agreement between you (“you”, the “Legal Consultant”), and Allegro.law Limited ("we", "us", "Allegro").
You should read these terms and conditions carefully before using our Matching Services. By accepting these terms and conditions when prompted on the Website, you:
- agree to be bound by this Agreement, and
- acknowledge that you have read and understood our Privacy Policy and Cookies Policy on the Website.
If you do not understand this Agreement or you do not agree to all of its terms and conditions, you may not use our Matching Services and should not click to accept this Agreement or “sign-up”.
If you are using our Matching Services on behalf of a business or a legal entity, you may only do so if you have authority to agree to this Agreement on behalf of that business or legal entity.
About us
Allegro make the Matching Services available to you via the Website. We are a company registered in England and Wales under company number 17084829, registered address 2 Cardigan Road, Stanion, Kettering, England, NN14 1BY.

Definitions
In this Agreement, the following words and expressions have the following meanings:
- “Account”: the registration by a Member to create a unique account to access the Website and/or Matching Services.
- “Confidential Information”: any confidential information concerning the business, assets, affairs, customers, clients or suppliers of the other party.
- “Customer”: a Member who uses the Website and/or Matching Services to engage a Legal Consultant.
- “Customer Contract”: the contract between the Legal Consultant and the Customer for the provision of the Services.
- “Matching Services”: the identification of relevant Legal Consultants for Customers and the facilitation by Allegro of matching the Customer with a Legal Consultant with the intent of the Legal Consultant providing the Services to the Customer.
- “Member Content”: has the meaning given in clause 6.2
- “Members”: registered users of the Website.
- “Services”: the legal services provided by a Legal Consultant to a Customer under a Customer Contract.
- “User”: means any person employed by a Legal Consultant who is granted access by the Legal Consultant to the Legal Consultant’s Account.
- “Website”: means https://www.allegro.law and any back end system(s) that Allegro approves to be connected to such domain.
The Matching Services
Allegro operates the Website which has been established to facilitate introductions between Customers and Legal Consultants for the provision of a wide range of legal services.
Allegro offers you the right to use a platform that enables Members to publish, offer, search for, and engage Services. Customers will be able to generate legal request summaries using the Website’s AI chatbot and search the Website to find potential Legal Consultants. The Website algorithms will help identify Legal Consultants who may be able to meet the Customer's requirements.
To use the Matching Services, you will be required to accept this Agreement when first using the Website, and an agreement will be formed between you and us for the provision of the Matching Services at that point. You will need to enter into a Customer Contract with any Customers who wish to instruct you to provide you with Services. See below for more information.
You may review the information you receive from the Customers, and such Customers may decide whether to engage you to provide the Services that the Customer requires. It will be your sole responsibility to engage with the Customer to establish whether you can meet their requirements prior to you entering into a Customer Contract.
If a Customer does engage you to provide the Services, they will become a customer of you and you will enter into a Customer Contract with them. To clarify, the Services are provided to the Customer by you, and not by Allegro. Allegro is not a party to any Customer Contract and under no circumstances will any such contract create an employment or any other service relationship between Allegro and any Legal Consultant. Allegro is not acting as an agent for any Member.
Allegro does not perform the Services and does not employ individuals to perform the Services. By connecting Customers and Legal Consultants seeking to procure or provide the Services, Allegro operates as an online marketplace that connects Customers with Legal Consultants who wish to provide the Services. Such Services will be supplied pursuant to a Customer Contract which will be agreed and entered into between a Customer and a Legal Consultant without any involvement of Allegro.
While we work hard to ensure our Members have great experiences using Allegro, we do not and cannot control the conduct or performance of Members and do not guarantee: (i) the existence, quality, safety, suitability, or legality of any Member Content or Services; or (ii) the truth or accuracy of any Member Content provided by Members.
The Matching Services will be provided by Allegro using reasonable care and skill. In the case of Allegro’s performance of the Matching Services, unless expressly stated otherwise in this Agreement, all warranties, conditions and other terms implied by law (whether by statute, common law or otherwise) are excluded from this Agreement.
Allegro does not make any guarantees that you will be successful in being engaged by a Customer for Services, and our role is only to give you the opportunity to engage with potential Customers.
Account registration and related information
You may be subject to a review process before you can register for and during your use of the Website.
By registering for an Account, you represent that you:
- agree to be bound by this Agreement,
- are doing business under your own name as a self-employed individual or are an employee or agent of an independent business (such as a corporation, limited liability company, or other entity),
- will use our Matching Services for business purposes only,
- will act in accordance with all applicable local, state, national, or international law or custom and in good faith and will in any event not use the Website to upload or host any illegal content or services,
- will comply with any licensing, registration, or other requirements with respect to your business, or the business for which you are acting, including in relation to any applicable regulator (e.g. the Solicitors Regulation Authority),
- will fulfil the commitments you make to Customers, communicate clearly and promptly, and be present and available at the time you agree upon with your Customer, and
- are either a legal entity or an individual who is at least 18 years old, and that you can form legally binding contracts.
You agree that you (and will procure that any Users employed by or affiliated to you) will not:
- attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the Website in any form or media or by any means,
- attempt to decompile, reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form all or any part of the Website,
- access all or any part of the Website to build a product or service which competes with the Matching Services,
- licence, sell, rent, lease, transfer, assign, distribute, display, disclose, or otherwise commercially exploit, or otherwise make the Website or any Member contact information available to any third party except with the express written agreement of Allegro,
- introduce, or permit the introduction of, any virus or vulnerability into Allegro’s network and information systems,
- attempt to re-register an Account on the Website having been banned previously, or
- attempt to engage Customers by any means other than via the Website, including by making your (or your business’) contact details publicly visible on the Website or contacting a Customer outside of the Website.
To use the Matching Services you must register for an Account with a username and password. You are responsible for safeguarding and maintaining the confidentiality of your username and password, and agree not to share them with anyone. You are responsible for any use of our Matching Services with your username and password and, if you suspect or become aware of any unauthorised use of your Account or any unauthorised access to your password you must notify it immediately to us. You further agree not to use the Account or log in with the username and password of another Legal Consultant, without that Legal Consultant’s specific consent.
To register for an Account to use the Matching Services, you must complete a profile, which you consent to be shown to Customers. You agree to provide accurate and complete information on your profile and to keep that information current. You agree not to provide any false or misleading information about your identity or location, your business, the beneficial owner(s) of your business, your skills, or the services your business provides. You agree to correct any information that is or becomes false or misleading. We may suspend or terminate the Account, or access to the Matching Services, of anyone who provides false, inaccurate, or incomplete information. You may only create one Account per business that you operate. We may remove any duplicate Accounts that are controlled by you for materially the same Matching Services.
If you create an Account as an employee or agent on behalf of a company, you represent and warrant that you are authorised to enter into binding contracts, on behalf of yourself and the company. More than one person can create an Account as an employee or agent on behalf of the same company.
You agree not to request or allow another person to create an Account for you, your use, or your benefit, except that authorised employees or agents may create an Account on behalf of your business. By granting other Users permissions under your Account you represent that:
- the User is authorised to act on your behalf, and
- you are fully responsible and liable for what the User does and does not do, including with respect to offering Services to Customers and entering into Customer Contracts and this Agreement.
If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party. We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of this Agreement. If you know or suspect that anyone other than you knows your username or password, you must promptly notify us.
If any User granted permissions under your Account violates this Agreement, it may affect your ability to use the Matching Services. When an Account is closed, Allegro may close any related Accounts as well.
If you are in breach of our terms, or misuse the Website in any way, we may suspend or terminate your Account.
The Legal Consultant’s obligations
You will provide Services under your own name or business name, and not under Allegro’s name, using your own tools and supplies to perform your Services.
You represent and warrant that:
- you have the unrestricted right to work in the jurisdiction in which you will be performing Services,
- if the Services are performed in a jurisdiction that requires you to have a business license or business tax registration, you have the required business license or business tax registration,
- you are responsible for identifying and obtaining any required licenses, permits, or registrations before offering Services and undertaking Services,
- you have any and all insurance required to operate your business, or that a prudent operator of a business in your industry would have,
- you will honour your commitments to Customers made on the Website and in a Customer Contract, including by responding to invitations promptly, performing the Services as agreed with a Customer, and providing timely, high-quality services to Customers, and
- you will only offer and provide Services for which you have the necessary skills and expertise, and provide those Services in accordance with all applicable laws.
You warrant to Allegro that the Services that you provide to Customers:
- will be performed by you and anyone acting on your behalf with due care and diligence,
- will be performed by you and anyone acting on your behalf with integrity and to such high standard of quality as it is reasonable for the Customer to expect in all the circumstances, and
- will comply at all times with all laws, guidance and regulations that apply to your provision of the Services to Customers (including those relating to data privacy, applicable regulation of Legal Consultants in your jurisdiction, and health and safety).
You will at all times:
- cooperate with Allegro in all matters relating to the Matching Services,
- provide, in a timely manner, such information as Allegro may reasonably require, and ensure that it is accurate and complete in all material respects,
- comply with this Agreement,
- comply with all policies and requirements as specified on the Website, as updated by Allegro from time to time,
- comply with any vetting requirements that Allegro may impose on you from time to time, and
- ensure that you make it clear to Customers that any Services to be provided are provided to them by you and not by Allegro.
You are free to maintain any clientele outside of the Website without any restrictions from Allegro and are free to offer and provide your services elsewhere, including through competing platforms. Allegro does not set Legal Consultants’ hours or terms of work. You are free to accept or reject Customers and their requests, and you will not be penalised for rejecting Customers or their requests. However, if you enter into a Customer Contract facilitated by the Website, you are expected to fulfil your contractual obligations.
You have to set your own rates for Services performed under a Customer Contract facilitated by the Website. You acknowledge and confirm that you are responsible for exercising your own business judgment in entering into Customer Contracts and that, depending on how you exercise such business judgment, there is a chance for individual profit or loss.
Fees and payment
The Matching Services will be provided to Customers at no cost.
Allegro will charge the Legal Consultant a fee amounting to 20% of the gross fees due from a Customer to you in accordance with a Customer Contract (as such Customer Contract may be amended or replaced from time to time) (the “Fee”) in return for the use of Website and obtaining Customers via the Website.
By way of examples only:
- If the Customer Contract is for a one-off fixed fee of £1,000 plus VAT, the Fee due to Allegro will be £200 plus VAT.
- If the Customer Contract is for an interim role for 6 months paying £20,000 plus VAT a month, the Fee due to Allegro will be £4,000 plus VAT per month for the 6 month period.
We will invoice you for the applicable Fees as appropriate based on whether the corresponding fees you are to receive from the Customer are one-off or on a monthly basis, and whether they are in advance or in arrears. You will pay us the Fee promptly, and in any event within 5 business days, following payment of the corresponding fees from the Customer. All Fees are exclusive of VAT and payable in pounds sterling.
You will strictly comply with all relevant regulation and law in relation to the Fee.
Website
Allegro is the owner or the licensee of all intellectual property rights in the Website. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.
The Website may include information and materials uploaded by Members of the Website (“Member Content”). This Member Content has not been verified or approved by Allegro. The views expressed by Members on our Website and the Member Content do not represent our views or values.
Nothing on the Website, including Member Content, should be construed as legal advice. Member Content is provided for general informational use only. You should only provide legal advice to a Customer in accordance with a Customer Contract.
If you choose to upload any Member Content on to our Website, you must comply with our content standards. Any Member Content you upload to the Website will be considered non-confidential and non-proprietary. In addition, when using the Website you agree:
- you must not misuse the Website by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful,
- you must not attempt to gain unauthorised access to the Website, the server on which the Website is stored or any server, computer or database connected to the Website,
- you are responsible for configuring your information technology, computer programmes and platform to access the Website. You should use your own virus protection software,
- you must not attack the Website via a denial-of-service attack or a distributed denial-of service attack.
- you warrant that you (and Users associated with you) will comply with the provisions of this clause 6.4. You will be liable to us and indemnify us for any breach of this warranty. This means you will be responsible for any loss or damage we suffer as a result of your breach of warranty.
If you breach clause 6.4, you may commit a criminal offence under the Computer Misuse Act 1990. Allegro will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the Website will cease immediately.
Allegro does not guarantee that the Website is or will be secure or free from bugs or viruses.
Ending our contract
You can always end this Agreement with us, and you can do this by ceasing to use the Matching Services. If you have opened an Account on the Website, you will need to contact us by email at ally@allegro.law.
As Allegro is not a party to any Customer Contract, the termination of this Agreement (or attempt to terminate this Agreement) does not terminate or otherwise impact any Customer Contract you may have with a Customer.
We may revoke or limit your access to the Matching Services, deny your registration, or revoke your access to the Website and refuse to provide any or all Matching Services to you if:
- you breach any terms and conditions of this Agreement,
- we have reason to believe that you have provided false or misleading information to us,
- we conclude that your actions may cause legal liability for you or others, may be contrary to the interests of the Website or the Member’s community, or may involve illicit or illegal activity, or
- we are required to by law, legal process, or law enforcement.
If we terminate this Agreement, any Fees due and payable prior to the date of termination, will become immediately due and payable.
Data Protection
Please see our Privacy Policy for more information on how your personal information will be used.
Liability
As noted above, you acknowledge that you remain contractually liable to Customers for the provision of the Services. You acknowledge that Allegro may suffer reputational damage if you do not perform your contractual obligations under Customer Contracts properly.
You agree to indemnify Allegro in full against:
- all direct losses, liabilities, costs, damages and expenses that we do or will incur or suffer, and
- all losses, liabilities, costs, damages and expenses we do or will incur or suffer as a result of defending or settling any actions, claims or proceedings brought or threatened against Allegro by any person (including Customers),
- in each case arising out of or in connection with (i) your breach of your obligations set out in this Agreement, and/or (ii) the Services, and
- all direct losses, liabilities, costs, damages and expenses we do or will incur or suffer as a result of defending or settling any actions, claims or proceedings brought or threatened against Allegro by any person (including Customers) claiming that content provided by you to Allegro (including any content uploaded by you to the Website) infringes the intellectual property rights of any third party.
You release Allegro from claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with any dispute you have with a Customer that exist as of the time you enter into this Agreement. This release will not apply to a claim that Allegro failed to meet our obligations under this Agreement.
Subject to clause 9.6 below, Allegro’s maximum aggregate liability under this Agreement will be limited to the value of the Fees paid by you to Allegro in 12 months prior to the event or first event giving rise to the liability.
Subject to clause 9.6 below, Allegro will have no liability to you for any:
- loss of profit, loss of sales or business (in each case whether direct, indirect or consequential),
- loss of or damage to goodwill, loss of reputation or loss of opportunity (in each case whether direct, indirect or consequential),
- any liability you may owe to any third party, including a Customer (in each case whether direct, indirect or consequential),
- loss of use or value of any data or software (in each case whether direct, indirect or consequential);
- indirect or consequential loss or damage.
Nothing in this Agreement will operate to exclude or restrict any liability of either you or Allegro for:
- death or personal injury resulting from negligence,
- fraud or fraudulent misrepresentation, or
- any other matter for which a party is not permitted by law to exclude or limit its liability.
Information & Confidentiality
Any Confidential Information provided by Allegro or concerning Allegro's affairs will be kept confidential by you. Any Confidential Information provided by you will be kept confidential by Allegro. For clarity, information that you provide on the Website will not be considered Confidential Information. Also, Confidential Information shall not include any information which enters the public domain (other than by breach of this clause, or where any disclosure is required by law or regulatory authority).
You will not disclose, transfer, or use (or seek to induce others to disclose, transfer or use) any Allegro or Customer Confidential Information for any purpose other than use of the Website and the provision of the Services in accordance with this Agreement. If relevant, you may disclose Allegro or Customer Confidential Information to your authorised employees and agents provided that they are also bound to maintain the confidentiality.
You will use best efforts to protect any Allegro or Customer Confidential Information from unauthorised disclosure, transfer or use. You will promptly notify Allegro in writing of any circumstances that may constitute unauthorised disclosure, transfer, or use of Confidential Information.
You must not use Allegro’s name, trade marks, service marks or logos for any promotional or publicity purposes without the express written consent of Allegro. However, Allegro may use your name, trademarks, service marks or logos for promotional or publicity purposes in relation to the Website and/or Matching Services. You also agree to use reasonable endeavours to participate in any case studies or other marketing material upon request by Allegro.
Termination
Without affecting any other right or remedy available to us, Allegro may withdraw your registration as a Legal Consultant on the Website with immediate effect by giving you notice if:
- you fail to pay any sums due to us during the term of this Agreement,
- your financial position deteriorates to such an extent that it in Allegro’s opinion your capability to adequately fulfil your obligations under this Agreement has been placed in jeopardy,
- you fail to comply with your obligations in clauses 3 and/or 4 relating to your use of the Website or performance of the Services with your Customers,
- you receive a disproportionate number of complaints and/or bad reviews on from Customers regarding your Services and/or dealings with Members more generally,
- you upload any illegal content to the Website or use the Website for any illegal or improperly licensed business operation,
- you repeatedly infringe any provision in this Agreement or misuse the Website in any way,
- in our absolute discretion, we consider your registration as a Legal Consultant on the Website or participation in the Matching Services to be detrimental or potentially detrimental to the reputation of Allegro, or
- you are subject to an investigation by a competent regulatory authority.
Without affecting any other right or remedy available to either of us, either you or we may withdraw your registration as a Legal Consultant on the Website and/or Matching Services with immediate effect by giving written notice to the other if:
- the other party commits a material breach of any term of this Agreement,
- the other party takes any step or action in connection with its entering administration, provisional liquidation or any composition or arrangement with its creditors (other than in relation to a solvent restructuring), being wound up, having a receiver appointed to any of its assets or ceasing to carry on its business, or
- the other party suspends, or threatens to suspend or cease or threatens to cease to carry on all or a substantial part of its business.
If you cease to provide Services and/or you do not wish to continue to be listed on the Website and/or participate in the Matching Services, you will notify us immediately so that we may withdraw your registration as a Legal Consultant.
If your registration is terminated for any reason set out in this clause, no refunds of Fees paid shall be given upon such withdrawal.
The termination of this Agreement (or attempt to terminate this Agreement) does not terminate or otherwise impact any Customer Contracts between you and any Customer. If any Customer Contracts continue after the termination of this Agreement, your obligation to pay the Fees in relation to such Customer Contracts shall continue notwithstanding the termination of this Agreement.
General provisions
Allegro may make changes to this Agreement from time to time. You should check these terms and conditions whenever you return to our Website to see whether any changes have been made, as these will be binding on you. We will alert you about any changes by updating the “Last updated” date of the Agreement, and you waive any right to receive specific notice of each such change. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised terms by your continued use of the Website after the date such revised terms are posted.
We may transfer this Agreement to someone else. We may transfer our rights and obligations under this Agreement to another organisation.
You need our consent to transfer any rights you have under this Agreement to someone else. No assignments are valid without our prior consent, which may be requested via email to ally@allegro.law. Any other attempted transfer or assignment will be null and void.
This Agreement does not grant any rights to anyone else. Its provisions are between you and us and cannot be enforced by any third party.
Any notice required or permitted to be given by either party to the other under this Agreement is to be in writing addressed to the other party at its trading address or such other address as may at the relevant time have been notified to the other party. The email address to use for any notices to Allegro is ally@allegro.law.
Nothing in this Agreement is intended to, or will be deemed to, establish any partnership or joint venture between the parties, constitute one party the agent of the other party, or authorise a party to make or enter into any commitments for or on behalf of the other party. The parties acknowledge and agree that each of them is an independent contractor, and nothing in this Agreement shall render either party (nor any staff of a party) an employee of the other.
To the extent any provision of this Agreement is held illegal, invalid, or unenforceable, in whole or in part under applicable law, its illegality, invalidity or unenforceability will not affect the other provisions, which will continue in effect. Each of the paragraphs of this Agreement operates separately.
Even if we delay in enforcing any provision of this Agreement, we can still enforce it later. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches.
This Agreement (and any non-contractual obligations arising out of or in connection with them) are governed by the law of England and Wales. The courts of England have exclusive jurisdiction to determine any dispute arising out of or in connection with them (including in relation to any non-contractual obligations).
Applicable laws require that some of the information or communications we send to you should be in writing. When using the Website or our Matching Services you accept that communication with us will be mainly electronic. We will contact you by email or provide you with information by posting notices on the Website. For contractual purposes, you agree to this electronic means of communication and you acknowledge that all contracts, notices, information and other communications that we provide to you electronically comply with any legal requirement that such communications be in writing. This condition does not affect your statutory rights.
